Here’s how our web services work at Amplify Digital LLC:

What We Do – We provide ongoing web design, hosting, maintenance, and digital services as part of your subscription.

Payments – Your subscription is billed monthly. Your minimum term commitment of 2 years begins upon payment of first invoice. This is what kickstarts development of the project. Payments are automatic until canceled. Missed or failed payments may result in suspension of your website or services.

Ownership – If you cancel before your minimum term (if any), Amplify Digital LLC retains ownership of the design, code, domain and hosting environment. After completing the minimum term commitment (if applicable) or upon buyout, you gain permanent ownership and have the option to transfer to any other provider without penalty.

Revisions & Support – Your subscription includes a set level of support and revisions. Extra requests may incur additional fees.

Cancellations – You can cancel anytime after the minimum term commitment (if any) with 30 days written notice. Services remain active through your paid billing cycle.

Guarantees – We promise professional-quality work and ongoing support, but can’t guarantee specific outcomes (traffic, rankings, or sales).

Legal Stuff – You’re responsible for your content. We’re not liable for outages, third-party issues, or indirect damages. 

Full Legal Terms (The Longer Version)

These Terms of Service (“Terms”) govern your use of services provided by Amplify Digital LLC (“Company,” “we,” “our,” or “us”). By engaging our services and/or making payment, you (“Client,” “you,” or “your”) agree to be bound by these Terms.

1. Services Provided

Amplify Digital LLC (“Company”) provides web design, development, domain & hosting, maintenance, and other related services (“Services”).

2. Subscription & Payments

  • Subscriptions are billed monthly (or as otherwise agreed) and automatically renew unless canceled.

  • Payments are due on the billing date and processed automatically.

  • Failed or late payments may result in suspension of Services until resolved.

  • Fees are non-refundable once the billing cycle begins.

  • Payment of the first subscription invoice kickstarts the project and starts the minimum term commitment of 2 years. 
  • Flat-fee based projects require 50% deposit and remainder due upon project completion. 

3. Ownership

  • While on a subscription-based payment schedule, Client has full use of the website and deliverables.

  • Amplify Digital LLC retains ownership of all design, code, domains and hosting environment until:

    • (a) Client completes the minimum term commitment (if applicable), or

    • (b) Client pays a one-time buyout fee (if offered).

  • After transfer, Amplify Digital LLC retains the right to showcase the project in portfolios, case studies, and marketing materials unless Client requests otherwise in writing before project start.

4. Client Responsibilities

  • Client must provide timely content, approvals, and ensure all materials are legally owned or licensed.

  • Client is solely responsible for the accuracy, legality, and compliance of all content published on their website.

5. Support, Revisions & Scope

  • Each subscription includes a defined level of revisions and support.

  • Additional requests beyond the included scope may incur additional charges.

  • Major new features, redesigns, or marketing campaigns require a separate agreement.

6. Third-Party Services

  • Amplify Digital LLC may integrate third-party services, plugins, or APIs into Client’s project.

  • We are not responsible for downtime, data loss, or issues caused by third-party providers.

  • Use of third-party services is subject to their own terms and conditions.

7. Data Privacy & Security

  • Amplify Digital LLC implements reasonable security measures to protect Client websites.

  • However, we cannot guarantee absolute security against breaches.

  • Client is responsible for complying with applicable data protection laws (such as GDPR, CCPA, etc.) regarding data collected via their website.

8. Cancellations & Termination

  • Client may cancel at any time after fulfilling the minimum term (if applicable) by providing 30 days written notice. 

  • Services remain active through the end of the paid billing cycle.

  • Amplify Digital LLC may terminate immediately for breach of these Terms, non-payment, or unlawful activity.

9. Warranties & Disclaimers

  • Amplify Digital LLC warrants that Services will be delivered professionally and to industry standards.

  • We make no guarantees regarding website traffic, search engine rankings, sales, or business outcomes.

10. Limitation of Liability

  • Amplify Digital LLC is not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.

  • Our total liability shall not exceed the amount paid by the Client in the last 2 months.

11. Indemnification

  • Client agrees to indemnify, defend, and hold harmless Amplify Digital LLC, its employees, and contractors from any claims, damages, or expenses arising out of:

    • Content provided by Client,

    • Client’s use of the Services, or

    • Client’s breach of these Terms.

12. Confidentiality

  • Both parties agree to keep confidential all non-public, proprietary, or sensitive information shared during the course of the project, unless disclosure is required by law.

13. Force Majeure

  • Amplify Digital LLC is not responsible for delays or failures caused by events beyond our control, including but not limited to natural disasters, internet outages, third-party service disruptions, or government actions.

14. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Illinois.

  • Disputes shall first be attempted to be resolved through mediation. If unresolved, disputes will be subject to binding arbitration in Kankakee County, Illinois.

15. Entire Agreement

These Terms, together with any signed proposal or subscription agreement, constitute the entire agreement and supersede prior discussions or understandings.
